Your signed project terms come first.
A proposal, statement of work, support agreement or other signed contract may change these general terms. If the documents conflict, the contract-specific document wins for that project.
Operator and scope
Dev Moves is the software and web development name used by SEO Moves Ltd, a company registered in England and Wales under number 09572553.
- Registered office
- Office 1, West End House, Oxford Street, Wellingborough, Northamptonshire, England, NN8 4JJ
- Phone
- 01977 264343
These terms cover use of devmoves.co.uk and general dealings with us. They do not, by themselves, commit either party to a software or website project.
How a project starts
Website copy, calls and estimates are invitations to discuss the work. A project starts only when both parties accept a written proposal, statement of work or other contract.
The project document should identify:
- the work and what is outside scope;
- the deliverables and acceptance checks;
- fees, invoice dates and taxes;
- delivery stages and client dependencies;
- ownership and licence terms; and
- support, hosting or maintenance where included.
A purchase order does not add different terms unless we accept those terms in writing.
Scope and changes
We build against the agreed scope and acceptance checks. A change to features, data, integrations, design or delivery order may affect the price or dates.
Neither party has to accept a change. When a change is agreed, we will record its effect before the extra work begins. Small fixes that are needed to meet the existing scope are not change requests.
Client duties
The client must give us what the agreed work reasonably needs. This may include:
- accurate requirements, decisions and feedback;
- safe access to systems, accounts and test data;
- content, branding and legal text the client is responsible for;
- people with authority to approve the work; and
- confirmation that supplied material can lawfully be used.
The client remains responsible for its business decisions, legal duties and the accuracy of its own content and data. We will flag an obvious problem, but the project does not make us the client's lawyer, accountant or regulator.
Fees and payment
Fees, payment stages, invoice dates and VAT are set out in the project document or invoice. The client must pay valid invoices by the stated due date and raise a genuine query promptly.
If an invoice is overdue, we may pause work, hosting, support or access after giving reasonable notice. The client remains liable for work already completed and costs already committed for the project. Statutory rights relating to late commercial payments are not waived.
Delivery and acceptance
Delivery dates depend on the assumptions and client actions in the project plan. A late approval, missing access or third-party delay may move a date. We will explain the effect when it becomes clear.
The client must test the deliverables against the written acceptance checks within the review period in the project document. We will correct a reproducible fault that prevents those checks from passing. New preferences or requirements are handled as changes.
Code and ownership
The ownership position depends on the type of build. It is written into the project scope before work starts.
| Build | Ownership and licence |
|---|---|
| Wholly new codebase | The client owns the project-specific source code after full payment, unless the project document says otherwise. |
| Zeus Laravel CMS build | SEO Moves Ltd keeps ownership of the Zeus core and grants the client the agreed licence to use it. |
| Project frontend | The client owns the project-specific frontend package after full payment, subject to third-party licences. |
| Existing tools and open source | Each owner keeps its existing rights. Open-source and commercial components remain under their own licence terms. |
The client gives us permission to use its content, data and systems only as needed for the work. We do not gain ownership of them.
Support and third parties
Support, maintenance, hosting, backups and response targets are included only where the project or support agreement says so. Handover does not create an unlimited support promise.
A build may rely on hosting companies, payment providers, APIs, plugins or other third-party services. Their own terms, prices and availability apply. We are not responsible for a third party changing or withdrawing its service, but we will explain known dependencies.
Using this website
You may browse, quote short extracts and link to this site for lawful business purposes. You must not copy a substantial part, imply our endorsement, interfere with the site or attempt unauthorised access.
Website copy is general information, not technical, legal or commercial advice for a specific project. Links to other sites are provided for context. We do not control their content or security.
Responsibility and liability
We will provide the services with reasonable care and skill. We do not promise that a website will always be available or that software can never contain a fault. We also do not guarantee a ranking, revenue figure or business outcome unless a signed contract says so.
Project-specific warranties, liability limits and remedies belong in the signed project terms. Nothing on this site excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or anything else that cannot lawfully be excluded.
Nothing in these terms removes statutory rights that apply to a consumer. Most Dev Moves work is supplied business to business.
Ending a project
The project document sets out any notice period, cancellation fee, handover work and rights to end the contract. Either party may also have legal rights to end for a serious breach that is not fixed after reasonable notice.
Ending a project does not remove fees already due, confidentiality duties, ownership terms or rights that arose before it ended.
Law and contact
These general terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory consumer right or different term in a signed contract.
We may update these terms when the website, law or way we contract changes. The date at the top shows the latest review.
